PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR SERVICES.

These Terms of Use (“Agreement”) govern your access to and use of the digital products and services provided by Market and Business Daily News, doing business as MB Daily News and mbdailynews.com (“MB Daily News,” “we,” “us,” or “our”), including without limitation any websites, pages, mobile experiences, applications, content, newsletters, databases, tools, and information made available from time to time (each a “Service,” and collectively, the “Services”), unless we expressly provide different terms for a specific Service.

By accessing or using any Service, with or without an account or subscription, you agree to be bound by this Agreement.

IMPORTANT NOTICE – ARBITRATION & CLASS ACTION WAIVER (READ CAREFULLY)

This Agreement contains provisions that require binding arbitration (except for certain limited disputes) and waive your right to participate in class actions or representative proceedings. This affects your legal rights, including your right to a jury trial.

If you do not agree, do not access or use the Services.

  1. Effective Date & Changes

We may update this Agreement at any time by posting revised terms on the Services and/or notifying you electronically. Changes become effective when posted (or as otherwise stated). Your continued use of the Services after changes means you accept the updated terms.

  1. Compliance

We are based in the United States, and our Services are provided from the United States. You are responsible for complying with all laws applicable to your use of the Services, including local laws if you access the Services from outside the U.S.

  1. Privacy & Your Account

Our Privacy Notice explains how we collect, use, and share personal data.

If you create an account, you agree to:

Provide accurate and current information;

Maintain the confidentiality of your login credentials; and

Notify us promptly of unauthorized access or security breaches.

You are responsible for all activity that occurs under your account.

  1. Fees, Payments, and Billing

Certain Services may require payment (subscriptions, premium content, events, or other offerings). By purchasing, you represent that you are 18 years or older and authorized to use the payment method.

You agree to pay all applicable fees and taxes at the rates in effect at the time charges are incurred. Unless otherwise stated, fees are non-refundable except where required by law or as described in an applicable refund policy.

We may use third-party payment processors. Your payment information is handled according to the processor’s terms and privacy practices.

  1. Term; Cancellation; Renewal
    5.1 Term and Auto-Renewal (if applicable)

If your subscription is recurring, it may renew automatically unless cancelled before the renewal date. Where required by law, we will provide renewal and pricing notices.

5.2 Cancellation

You may cancel your subscription by following the cancellation method described within your account settings or the subscription flow used at purchase (including third-party platforms, if applicable).

5.3 Effect of Cancellation

If you cancel, access continues until the end of the then-current billing period unless otherwise stated. If we cancel or suspend access, it may occur immediately or at a later date at our discretion.

5.4 Survival

Sections that by their nature should survive termination will survive, including intellectual property, restrictions on use, disclaimers, limitation of liability, indemnification, and dispute resolution.

  1. Subscription Policies

Subscription and promotional terms may be presented at checkout, in account settings, or within the relevant Service. Those terms are incorporated by reference into this Agreement.

  1. Access Through Third-Party Platforms; Third-Party Payment Services

If you access the Services through a mobile app store, device, or platform, you may also be subject to that platform’s terms. In case of conflict, this Agreement governs your use of the Services as between you and MB Daily News.

  1. Certain Types of Users; Bundles

If your access is provided through a third party (e.g., employer, school, or bundle partner), billing/cancellation terms may differ. You should contact the third party for details. Some free experiences may exclude payment-related sections but still require compliance with the rest of this Agreement.

  1. Limitations on Use; Intellectual Property
    9.1 Personal, Non-Commercial Use

Unless we expressly authorize otherwise in writing, the Services and Content are for your personal, non-commercial use.

9.2 Credential Sharing Prohibited

You may not share or publish your login credentials. You are responsible for all use of your credentials, authorized or not.

9.3 Ownership

All content, design, layout, compilation, software, and materials made available through the Services (“Content”) are owned by MB Daily News or its licensors and are protected by copyright, trademark, and other laws.

9.4 Restrictions (No Scraping, No Automated Access, No AI Training)

You agree you will not:

Copy, reproduce, republish, sell, license, distribute, or exploit the Content except as permitted here;

Scrape, crawl, spider, harvest, text-mine, or data-mine the Services or Content (including metadata) by automated means;

Circumvent access controls or paywalls;

Reverse engineer or create derivative works from the Services;

Frame or mirror the Services without permission;

Use Content to train, fine-tune, ground, or operate artificial intelligence or machine learning systems (including generative AI) without express written consent.

9.5 Limited Permitted Copying

You may occasionally download or print individual articles for personal, non-commercial use, provided you keep all copyright notices intact and do not systematically copy or archive Content.

  1. Community; User-Generated Content
    10.1 User Content

If the Services allow comments, posts, uploads, profiles, or other submissions (“User Content”), you remain responsible for what you submit.

10.2 Conduct

You agree not to post User Content that is unlawful, defamatory, infringing, harassing, deceptive, hateful, or otherwise inappropriate. We may remove User Content or restrict accounts at any time.

10.3 License to MB Daily News

By submitting User Content, you grant MB Daily News a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, use, reproduce, modify, publish, display, distribute, and create derivative works from your User Content in connection with operating, improving, and promoting the Services.

10.4 No Endorsement

User Content reflects the views of the user, not MB Daily News. We do not guarantee accuracy of User Content.

10.5 Copyright Complaints (DMCA)

We respond to valid DMCA notices. Copyright complaints can be submitted to the contact information in Section 22 (Contact).

  1. Benefits

We may offer certain user benefits (events, discounts, offers). Benefits can change or end at any time, and are provided “as is.”

  1. Promotions

Promotions (contests/sweepstakes) may have additional rules and eligibility requirements which will be provided at the time of the promotion.

  1. Third-Party Websites and Services

The Services may link to third-party sites or content. We do not control or endorse third-party sites and are not responsible for their terms, privacy practices, or content.

  1. DISCLAIMERS OF WARRANTIES

THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MB DAILY NEWS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR COMPLETE.

MB DAILY NEWS DOES NOT PROVIDE TAX, INVESTMENT, OR LEGAL ADVICE. YOU ARE RESPONSIBLE FOR YOUR OWN DECISIONS.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MB DAILY NEWS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA.

MB DAILY NEWS’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO MB DAILY NEWS FOR THE APPLICABLE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU PAID NOTHING), UNLESS REQUIRED OTHERWISE BY LAW.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

  1. Indemnification

You agree to indemnify and hold harmless MB Daily News and its owners, officers, directors, employees, contractors, and licensors from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Services;

Your violation of this Agreement; or

Your User Content.

  1. Dispute Resolution; Arbitration; Class Action Waiver
    17.1 Informal Notice First

Before initiating a claim, you agree to send a written dispute notice describing the issue and desired resolution. We will try to resolve disputes in good faith.

17.2 Arbitration Agreement

Except for Excluded Claims (below), disputes will be resolved by binding individual arbitration administered by a recognized arbitration provider (e.g., JAMS or AAA) under applicable rules.

17.3 Excluded Claims

Excluded Claims include:

Claims that may be brought in small claims court (if eligible);

Claims involving intellectual property rights or violations of Section 9.

17.4 Class Action Waiver

YOU AND MB DAILY NEWS AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

17.5 Opt-Out (Optional)

If you want to allow opt-out (recommended to keep enforceability in some contexts), add:
You may opt out of arbitration within 30 days of first accepting this Agreement by emailing the address in Section 22 with the subject “Arbitration Opt-Out” and including your name and account email.

  1. Governing Law and Venue

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

If a dispute is found not subject to arbitration, you agree it will be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

  1. Severability

If any provision is found unenforceable, the remaining provisions remain in effect. If the class action waiver is deemed unenforceable and arbitration is required, the arbitration provision may be deemed void to the extent required by law (depending on jurisdiction).

Certain third-party data or content providers may require additional terms, which will be presented where applicable.

  1. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, riots, government actions, cyberattacks, fires, floods, strikes, or infrastructure failures.
